Modul Fundamentals of Finance II

The "Fundamentals of Finance II" module is offered in the master’s courses in the Faculty of Law and Economics. It can also be chosen in different minor subjects. The module consists of two courses "Corporate Finance II" and "Corporate Finance III".

Debt Financing

After having considered equity financing of (listed) companies in the course “Corporate Finance I”, this course deals with debt financing of (not only listed) companies under asymmetric information structures. Theoretical and institutional foundations of financial intermediation by banks and capital markets are presented, the instruments for pricing loan products are explained by means of practical examples in exercise units, and the procedure of empirically designed scientific research in this area is discussed.

Mergers, Acquisitions and Empirical Research

The course first takes up the findings of the courses Corporate Finance I and II and brings them together in a discussion on the optimal capital structure of equity and debt. The determination of the capital structure requires a (market) valuation of equity and debt capital. Consequently, a compact presentation of the most important methods in practice for the valuation of companies and thus for a purchase price determination follows, from which questions on corporate takeovers and mergers as well as on the optimal design of the ownership structure and thus the corporate governance of (mostly listed) companies are derived.
